It contains a supplement of notes for readers in the Scottish jurisdiction which highlights succinctly the principal differences between English and Scottish company law and cross-references to the relevant pages. The text has been fully updated to take into account case law and statutory developments, including the amendments to the Companies Act 1995 brought about by the audit exemption regulations for smaller companies. Each chapter is prefaced by a plan of the area of law under scrutiny. The level of detail and topics covered are appropriate for students and the text clearly explains the key principles involved.
